5. A pass through business is one in which there is no distinction between the income of the business and the income of the owner. Thus any income of the business is imputed to the owner and the owner pays taxes on the income at individual marginal rates. Typically you will see this with solo proprietorship, but you can elect pass through treatment in an llc as well. The alternative is when the business entity itself pays taxes on its income at corporate rates. The new tax bill cuts corporate income tax rates and apparently cuts tax rates on pass through income as well, with some exceptions.

5.. S-Corporations, partnerships, and sole proprietorships are "pass-through" businesses. The business’s income passes through to the owner. The owner must declare the income on their personal income tax return. The theory being the maximum tax an individual pays is less than maximum corporate tax. This may not be true with the new tax law’s maximum corporate rate of 22%. There is another business which is loosely referred to as a pass-through business. For example when selling to a federal government agency including military, it is desirable for both parties (Feds and vendor) to by-pass the compete regulations which open the sale to a competitive bid. In such a case the seller will seek out an 8A company which the Feds define as a minority owned business (race and/or gender). Sells from such a company don’t have to be opened to a competitive bid. The seller enlists the 8A as a reseller of their products and services. The sale may be worth say $3M. The 8A “sells” the products and collects a “commission” typically $150-200K plus some of their consultants would be engaged and they must “manage the project” at least on paper. There are a few more hoops but this is the gist.
